PLEASE READ THESE TERMS CAREFULLY. LeanMindset is a wellness and fitness service, not a medical service. By creating an account, purchasing a subscription, or using LeanMindset, you agree to these Terms.

1. About These Terms

These Terms & Conditions ("Terms") govern your access to and use of LeanMindset, including its mobile applications, websites, content, features, recommendations, coaching tools, meal and activity features, progress tracking, communications, and related services (collectively, the "Service"). The Service is operated by VERIXLABS ("VERIXLABS," "we," "us," or "our").

If you do not agree to these Terms, do not access or use the Service. Our Privacy Policy, Community Guidelines, and any subscription terms presented at checkout are incorporated into these Terms by reference.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement in your place of residence. Unless we expressly offer a youth-specific experience, LeanMindset is intended for users who are at least 18 years old. If local law permits use by younger persons only with parental or guardian consent, you must not use the Service unless those requirements are satisfied.

Provide accurate, current, and complete information when creating and maintaining your account.

Keep your password and authentication methods secure and do not share your account with another person.

Notify us promptly if you suspect unauthorized access or misuse of your account.

You are responsible for activity performed through your account except where applicable law provides otherwise.

3. Wellness, Fitness, Nutrition and Weight-Management Service

LeanMindset may provide educational content, meal ideas, food guidance, calorie or nutrition estimates, exercise suggestions, habit prompts, progress tracking, wellness goals, coaching-related features, and other informational tools. These features are intended to support general wellness and lifestyle goals.

LeanMindset does not diagnose, treat, cure, prevent, or monitor any disease or medical condition and is not a substitute for professional medical advice, diagnosis, treatment, or emergency services.

You should consult an appropriately qualified healthcare professional before starting or materially changing an exercise, nutrition, fasting, supplementation, or weight-management program, particularly if you are pregnant or nursing, under medical care, taking medication, have a history of disordered eating, or have any injury, chronic disease, metabolic condition, cardiovascular condition, or other health concern.

Stop an activity and seek appropriate medical assistance if you experience chest pain, fainting, severe shortness of breath, severe dizziness, unusual pain, or other concerning symptoms. In an emergency, contact local emergency services; do not rely on LeanMindset.

4. Recommendations, Estimates and Automated Features

Some LeanMindset outputs may be generated or assisted by algorithms, rules, artificial intelligence, or automated calculations. Recommendations are based on the information available to the Service and may be incomplete, inaccurate, unsuitable, or affected by user input, device data, third-party data, estimation methods, or technical limitations.

Calories, macros, energy expenditure, weight change, fitness scores, projected outcomes, activity levels, and similar values are estimates and are not guaranteed. You remain responsible for deciding whether any recommendation is appropriate for you.

5. Coaches and Other Professionals

If LeanMindset offers access to coaches, advisors, trainers, diet-related professionals, or other service providers, the scope and credentials of those individuals will be described where applicable. Unless explicitly identified as a regulated healthcare service, coaching through LeanMindset is not medical care and does not create a physician-patient or other regulated clinical relationship with VERIXLABS.

You should independently evaluate advice you receive and disclose relevant limitations or safety concerns to the person providing coaching. We may establish conduct, quality, and communication standards for coaches and users.

6. Acceptable Use

You may use LeanMindset only for lawful, personal purposes and in accordance with these Terms and our Community Guidelines. You must not:

Use the Service to harass, threaten, exploit, deceive, impersonate, or harm another person.

Upload unlawful, defamatory, hateful, sexually exploitative, dangerous, fraudulent, or rights-infringing content.

Promote unsafe weight-loss practices, eating-disorder behavior, self-harm, illegal drugs, or dangerous exercise practices.

Attempt to gain unauthorized access to accounts, systems, APIs, data, or security controls.

Reverse engineer, scrape, copy, resell, automate access to, or commercially exploit the Service except as permitted by law or by written agreement.

Introduce malware, interfere with operation of the Service, or use the Service for spam or fraudulent activity.

7. User Content

You may be able to submit text, photos, comments, measurements, goals, progress entries, feedback, or other content ("User Content"). You retain ownership of your User Content. You grant VERIXLABS a worldwide, non-exclusive, royalty-free license to host, reproduce, process, display, transmit, and otherwise use User Content only as reasonably necessary to operate, secure, improve, and provide the Service, subject to our Privacy Policy.

You represent that you have the rights necessary to submit your User Content and that it does not violate law, third-party rights, or these Terms. We may remove or restrict content that violates our policies or creates safety, legal, or operational risk.

8. Subscriptions, Billing and Auto-Renewal

Certain features may require a paid subscription. Prices, billing periods, trial terms, and included features will be shown before purchase. Unless otherwise stated, subscriptions purchased through Apple App Store or Google Play are billed and managed by the applicable store and are subject to that store’s payment terms.

Subscriptions may automatically renew unless cancelled before the end of the current billing period. You can manage or cancel an App Store or Google Play subscription through your store account settings. Cancellation generally stops future renewals and does not retroactively refund prior charges, except where required by applicable law or the applicable store’s rules.

If we offer direct billing outside an app store, the checkout page will identify the merchant, renewal terms, taxes if applicable, accepted payment methods, and cancellation process.

9. Free Trials and Promotions

A free trial or promotional offer may be limited to eligible users and may convert to a paid subscription if not cancelled before the stated deadline. Promotional offers may have additional terms presented at the time of enrollment. We may modify or discontinue promotions where permitted by law.

10. Refunds

For purchases processed by Apple or Google, refund requests are generally handled by the applicable store under its policies. For purchases billed directly by VERIXLABS, refund eligibility will be determined under the terms shown at purchase and applicable consumer law. Nothing in these Terms limits any non-waivable statutory refund or cancellation rights.

11. Third-Party Services and Devices

LeanMindset may integrate with or link to third-party services, wearable devices, health platforms, payment processors, analytics providers, authentication providers, or content services. Their products and privacy practices are governed by their own terms and policies. We are not responsible for third-party services that we do not control.

12. Health Platform Data

If you choose to connect a supported health platform or device, LeanMindset will request only permissions needed for enabled features. You may be able to revoke permissions through your device or platform settings. Health-related data will be handled as described in our Privacy Policy and will not be used for prohibited advertising or other uses inconsistent with platform rules.

13. Intellectual Property

The Service, including its software, design, branding, logos, text, graphics, audiovisual materials, features, and non-user content, is owned by or licensed to VERIXLABS and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

14. Feedback

If you voluntarily provide product ideas, suggestions, or feedback, you permit us to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

15. Suspension and Termination

You may stop using LeanMindset at any time. We may suspend, restrict, or terminate access if we reasonably believe you have violated these Terms, created risk to users or the Service, engaged in fraud or abuse, or where suspension is necessary for legal, security, or operational reasons. Where appropriate, we may provide notice and an opportunity to appeal or correct the issue.

16. Account Deletion

If LeanMindset allows account creation, you may request deletion through the in-app account settings or other deletion method we make available. Deleting your account is different from cancelling a paid subscription; you should cancel any active store subscription separately to prevent future charges. We will delete or de-identify associated personal information as described in our Privacy Policy, except where retention is required or permitted by law.

17. Service Changes and Availability

We may add, change, suspend, or discontinue features. We do not guarantee that every feature will be available on every device, operating system, region, or subscription tier, or that the Service will always be uninterrupted or error-free.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VERIXLABS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

We do not warrant any particular weight-loss, health, fitness, nutrition, appearance, or performance result. Individual outcomes vary substantially.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIXLABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE.

Where liability cannot be excluded, our liability will be limited only to the extent permitted by applicable law. Nothing in these Terms excludes liability that cannot legally be excluded or limits statutory consumer rights.

20. Indemnity

To the extent permitted by law, you agree to indemnify and hold VERIXLABS harmless from third-party claims arising from your unlawful use of the Service, your violation of these Terms, or your infringement of another person’s rights. This section does not apply where prohibited by consumer law.

21. Governing Law and Disputes

These Terms are governed by the laws applicable in Ontario, Canada, without regard to conflict-of-law principles, except where the mandatory laws of your jurisdiction require otherwise. Any dispute forum or process will remain subject to non-waivable consumer protections in your place of residence.

22. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the app, website, email, or another appropriate method. The updated Terms will state a new effective date. Continued use after the effective date constitutes acceptance where permitted by law; where additional consent is legally required, we will request it.

24. App Store Terms

If you download LeanMindset from Apple App Store or Google Play, you acknowledge that the applicable store provider is not responsible for providing the Service except as required by its own terms. Store terms and applicable law may provide additional rights. Nothing in these Terms is intended to conflict with mandatory app-store terms.

Publication Notes - Remove Before Going Live

Confirm the minimum age actually enforced in the app.

Insert VERIXLABS legal/business address and a monitored support/legal email.

Confirm whether LeanMindset uses coaches, AI, Apple Health/HealthKit, Health Connect, wearables, direct billing, or only store billing; remove unused clauses.

Make subscription language match the exact products configured in App Store Connect and Google Play Console.

Have qualified counsel review the final public version for each launch jurisdiction.
